Terms of Service (이용약관)
These Terms of Service (“Terms”) govern the use of design, marketing, branding, content production, and related professional services (the “Services”) provided by Sisun Communication Arts (“Company”) and define the rights, obligations, and responsibilities between the Company and its clients (“Client”).
1. Agreement Formation and Scope
- These Terms become effective when the Client agrees to a quotation, proposal, contract, or completes a payment process provided by the Company.
- If a separate agreement or Statement of Work (SOW) is executed for a specific project, such agreement shall prevail over these Terms.
- These Terms are published on the Company’s website, and the Company reserves the right to amend them as necessary.
2. Scope of Services
- The Company shall provide Services including, but not limited to, design, marketing, SEO, e-commerce operations, brand strategy, and content production, within the scope agreed upon with the Client.
- The scope of Services is limited to what is expressly stated in the quotation or contract. Any work not explicitly included is excluded.
- Additional requests outside the agreed scope may require separate fees and schedule adjustments.
3. Payment Terms
- Service fees and payment schedules shall follow the quotation or contract.
- Depending on the nature of the project, the Company may require advance payment, partial advance payment, or post-payment.
- As a general rule, final deliverables including original files, high-resolution files, or source files will be released only after full payment has been received.
- In the event of delayed payment, the Company may suspend Services or withhold deliverables.
4. Revisions and Approval
- The number of revisions included in the project shall be as specified in the contract.
- Requests exceeding the agreed number of revisions may incur additional fees.
- Any changes requested after final approval shall be considered new work.
- Repetitive revision requests based solely on subjective preference may be limited.
5. Schedule and Delays
- Project timelines may be affected by the Client’s delivery of materials and feedback.
- The Company shall not be responsible for delays caused by the Client’s late responses.
- If delays become excessive, the Company reserves the right to terminate or renegotiate the project.
6. Intellectual Property
- Ownership of final deliverables shall transfer to the Client only after full payment has been completed.
- Prior to full payment, all intellectual property rights in the work remain with the Company.
- The Company may use the deliverables for portfolio, marketing, and promotional purposes unless otherwise agreed upon.
7. Termination and Refunds
- If the Client terminates the project after commencement, the Company may charge fees corresponding to the work completed.
- Refunds may be limited for Services already rendered or deliverables already provided.
- Termination due to force majeure or circumstances beyond either party’s control shall be handled through mutual consultation.
8. Limitation of Liability
- The Company shall not be liable for any indirect, incidental, or consequential damages.
- The Company’s total liability shall not exceed the total amount actually paid by the Client for the relevant project.
9. Confidentiality
- Both parties agree not to disclose any confidential information obtained during the course of the project to third parties.
- This obligation shall survive termination of the agreement.
10. Governing Law and Jurisdiction
- These Terms shall be governed by the laws of the United States and the state in which the Company is located.
- Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the Company’s principal place of business.
11. Miscellaneous
- Matters not expressly provided herein shall be governed by applicable laws and customary business practices.
- If any provision of these Terms is held to be invalid, the remaining provisions shall remain in full force and effect.
